The Role of the M&A Advisor in Expanding or Selling your Business

A high-level look at the critical steps we take for your business.

The Role of the M&A Advisor in Expanding or Selling your Business

For business owners looking to expand their business or thinking about exit plans, an M&A Advisor can work with you to examine your options. In order to do so, the first step is to understand your business - what you do and how you do it. This includes doing a “deep dive” into your business financials so that we can create a realistic valuation. It is only then, that you can truly assess your long-term plans and strategies. While it may seem counter-intuitive at first, the best time to explore the sale of a company is when you don’t need to!

Meeting and Learning About Your Business

We want to truly understand your company story and your goals so that we can best help you to explore options to maximize your financial opportunities. This takes place on an ongoing basis but begins with a preliminary meeting and transfer of company knowledge where we review your business materials and have an in-depth discussion with management to gain an in-depth understanding of your business’ history, key personnel, products and/or services, strengths, weaknesses, market positioning, customer base, competitive landscape, sales channels, revenue model, and business plan. We want to “walk in your shoes.”

Reviewing your Business’ Financial and Creating a Business Valuation

A critical part of our work is to determine a valuation of your company. This is what enables us to effectively evaluate options and to be in the best position to market your company. We do this by reviewing your historical and projected financial data, in consultation with you, your accountant or other professionals, and preparing company valuation that will utilize one or more of the following calculations: Adjusted EBITDA - adjusted Earnings Before Interest Tax Depreciation and Amortization, discounted cash flow, or comparable market multiples. We then strategize with you to evaluate potential ways to maximize your business’ valuation range. Our job in normalizing earnings is the opposite of what your accountant does - we find credible ways to increase your profitability in financial statements.

This is only a small part of what we do as an M&A Advisor. In addition to reviewing your financials and creating a valuation, our team of experienced professionals manage the entire sales or merger process for business owners. We identify and qualify prospective targets, prepare confidential marketing materials, conduct outreach campaigns, negotiate letters of intent, manage the due diligence process, coordinate with our client’s other service providers, and guide the transaction through to successful closure.
